Bengaluru, March 22, 2021: Barbeque-Nation Hospitality Limited (referred to as BNHL or the Company), one of India’s leading casual dining restaurant chains (in terms of outlet count as on September 30, 2020) according to a report dated February 19, 2021 prepared by Technopak Advisors Private Limited (the “Technopak Report”), will open the bid/offer period in relation to its initial public offering of equity shares (the “Offer”/ “IPO”) on Wednesday, March 24, 2021 and close on Friday, March 26, 2021. The price band for the Offer has been decided at Rs. 498 – Rs. 500 per equity share. The Company and Tamara Private Limited (“TPL”), a selling shareholder, may in consultation with the book running lead managers (the “BRLMs”), consider participation by anchor investors, which shall be one working day prior to the bid/Offer opening date, i.e. Tuesday, March 23, 2021.

The IPO is a fresh issuance of equity shares of Rs 5 face value, aggregating up to Rs 180 cr and an offer for sale of up to 54,57,470 equity shares of face value of Rs 5 each by the selling shareholders. Equity shares aggregating up to Rs. 2 crore will be reserved for eligible employees. The Company proposes to utilise the net proceeds from the fresh issue towards expansion and opening of new restaurants by the Company, prepayment or repayment of certain outstanding borrowings in part or in full availed by the Company on a consolidated basis and for general corporate purposes.

The Hospitality/F&B Industry has been doing quite well in recent times and this IPO promises to bring a good  ROI to Retail Investors in the short/long term.[The maximum amount one  can invest for an IPO is Rs 2 lakhs via the ASBA route.Listing of the scrip is usually quick:within 10-15 days of closing date of IPO]

BNHL pioneered the format of ‘over the table barbeque’ concept in Indian restaurants according to the Technopak Report. The first Barbeque Nation restaurant was launched in 2006 by one of the promoters, Sayaji Hotels Limited (“SHL”). BNHL launched its first Barbeque Nation restaurant in 2008 and subsequently acquired five restaurants owned and operated by SHL in 2012. As of December 31, 2020, BNHL currently operates 147 Barbeque Nation restaurants (including opened, temporarily closed and under construction outlets) across 77 cities in India and six international Barbeque Nation restaurants across three countries namely UAE, Oman and Malaysia. BNHL has diversified its offering by acquiring 61.35% stake (on a fully diluted basis) in Red Apple Kitchen Consultancy Private Limited which currently owns and operates Italian restaurants under the brand name “Toscano”, a casual dining Italian restaurant chain operating in Pune, Bengaluru and Chennai, “La Terrace” and “Collage”. The Company has further extended its offerings by introducing UBQ by Barbeque Nation to provide a-la-carte Indian cuisine in the value segment. As of December 31, 2020, the Company was providing delivery in 77 cities in India under UBQ by Barbeque Nation from its existing kitchen infrastructure. It has also launched “Barbeque-in-a-Box” in June 2020 as one of their delivery products. This is in addition to two other products, “Grills in a Box” and “Meals in our Box”, which are offered through delivery among other offerings.

IIFL Securities Limited, Axis Capital Limited, Ambit Capital Private Limited and SBI Capital Markets Limited are the BRLMs to the issue.

The Offer is being made in accordance with Regulation 6(2) of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 and through a book building process wherein at least 75% of the net offer shall be allotted on a proportionate basis to Qualified Institutional Buyers (“QIBs”, and such portion, the “QIB Portion”). Our Company and TPL may, in consultation with the BRLMs, allocate up to 60% of the QIB Portion to anchor investors on a discretionary basis ("Anchor Investor Portion”), out of which at least one-third shall be available for allocation to domestic mutual funds only, subject to valid bids being received from the domestic mutual funds at or above the anchor investor allocation price. 5% of the QIB Portion (excluding the anchor investor portion) shall be available for allocation on a proportionate basis to mutual funds only, and the remainder of the QIB Portion shall be available for allocation on a proportionate basis to all QIB bidders, including mutual funds, subject to valid bids being received at or above the offer price.

 Fortis Bangalore urges new riders to #pledgetoridesafely ahead of World Head Injury Awareness Day [ 20 March 2021 ] in Namma BENGALURU

Helmets were distributed to 55 new riders and a certificate of pledge were given for "taking the pledge to ride safely"

 

Bengaluru, March 19, 2021: Ahead of World Head Injury Awareness Day, Fortis Hospitals, Bangalore took an initiative in association with Gaadilicence.com to urge new riders to take a pledge to ride safely. As part of the initiative, a media/press conference was conducted at the Bangalore Press Club with Mr. M. Narayan, DCP – Traffic (East), Dr. Manish Mattoo, Zonal Director, Fortis Hospitals, Bengaluru, Dr. Satish S, Additional Director – Neuro Surgery, Fortis Bannerghatta Road and Sagar Jalihalmath, Co-Founder at GaadiLicence as panelists.

 

This is the fourth year where Fortis Hospitals is educating riders on the importance of wearing helmets by distributing free helmets to the non-helmet wearers. Around 55 candidates who received their driving license on Thursday were provided helmets along with a pledge certificate to #pledgetoridesafely. The awareness drive was conducted in association with GaadiLicense.com, a driving school aggregator. The sole aim of the initiative is to create awareness on importance of wearing helmets and ride safely for themselves as well as for the pillion riders.

                                                 


 According to World Health Organisation, 1.25 million people lose their life to road traffic crashes every year. WHO also states that In Karnataka there is about 42 million registered vehicles, of which 71% are motorized two-wheelers. The state capital, Bangalore, has 2 million registered vehicles, 75% of which are two-wheelers. Injuries to the head and neck are the main cause of death according to the survey.      

Fortis Hospitals, Bengaluru, on the occasion of World Head Injury day, 20th March, took an initiative to promote use of helmets while riding. In association with Bangalore Traffic Police, three days drive started on  March 19 and will end on  March 21;conducted on various signals of Jayanagar 4th block, Cunningham Road, Nayandahalli, JP Nagar, Gopalan Mall, Inner Ring Road, Outer Ring Road and Rajajinagar. Traffic police at the signals gave away the helmets along with the pink slips to the people who were seen without wearing a helmet.

The aim of the initiative is to raise awareness on the importance of using helmets while riding to ensure minimal damage in case of accidents.                                         

 

Dr Satish. S, Additional Director – Neuro Surgery said, “India is known to have the highest rate of head injuries in the world. According to the latest data from National Crime Records Bureau, Karnataka tops the list of road accident deaths caused due to over speeding. Road accidents causing head injuries have been an area of major concern. 1 out of every 6 patients die due to head injuries.  A majority of deaths or severe injuries following these accidents can be avoided if the riders wear helmets. It is extremely important to spread awareness around this and to encourage people to use helmets in order to avoid head injuries and protect themselves.”

 

Dr. Manish Mattoo, Zonal Director, Fortis Hospitals, Bengaluru said, “At Fortis Hospitals, we have been spreading the message of road safety through our initiative for the last four years now.  Through this initiative, we want to educate people on the importance of wearing helmets so that they are safe while riding and prevent head injuries. We hope this initiative will create an impact on the new riders and they adhere to the road safety guidelines.”

24th Annual Convocation of Ramaiah Institute of Management[ RIM ] held in Namma BENGALURU

 The 24th Annual Convocation of Ramaiah Institute of Management (RIM) was held on 18th March 2021,at the Hi-Tech Auditorium of the MS RAMAIAH INSTITUTE of TECHNOLOGY[ MSRIT ]at Gokula-Mathikere in Namma BENGALURU.

The chief guest for the occasion was Prof. M.K.Sridhar, President, Centre for Educational; Social Studies, Member UGC. Among the other dignitaries present were the Chairman of Gokula Education Foundation(GEF)Dr.M.R.Jayaram,Director;Trustee of GEF Shri. M.R.Anandaram, Chief Executive, Engineering;General Sciences, Shri. B.S. The Chief Executive, GEF welcomed the gathering. The Chairman declared the 24th Convocation open and Dr. Manasa Nagabhushanam, Director Academics,RIM presented the Annual Report highlighting academic activities, student initiatives, academia-industry engagement and placements. Director Academics administered the oath to the graduating class of 2018-20.The Post Graduate Diploma Certificates were given to all the students by the dignitaries. A scintillating Medals/Awards ceremony was also part of the Convocation that recognized outstanding achievements in academic and co-curricular activities. Keerthana KR was awarded the gold medal and the outstanding student of the graduating class of 2018-20.


The Chief Guest delivered the Convocation address laying emphasis on starting from one’s grassroot to understand, perceive and prosper better. He quoted that‘What you learn is more important than what you do.’ He highlighted transitioning into an appropriate career path that helps to achieve the right balance between career and life. He added that one should have the right attitude to overcome challenges in life.The Chairman Dr. M.R.Jayaram delivered the Presidential address.He insisted that one should change and reinvent oneself over time to be relevant in the current context. He further added that one should constantly ideate, take on challenges and contribute to the good of the society.

The Chairman declared the Convocation closed. The Convocation ended with a Vote of Thanks by the Registrar Evaluation, who thanked the guests and the RIM fraternity for their commendable efforts to make the event a grand success. This was followed by the National Anthem.
